Mary Kay focuses her practice on business litigation and has successfully represented her clients in federal and state courts throughout the country. Her practice covers a range of business matters including theft of trade secrets, unfair competition, covenants not to compete as well as advice to clients on securing and protecting against the disclosure of commercially-sensitive information in the workplace. Mary Kay also handles intellectual property matters, including copyright and trademark infringement, and corporate governance and control issues such as shareholder and partnership disputes, breach of fiduciary duty claims and director and officer liability. She also handles general commercial contract disputes and real estate-related litigation (including professional liability matters), and represents media clients in First Amendment and defamation matters.
Mary Kay represents Fortune 50 companies as well as small and medium-sized businesses. Her clients include major financial institutions, national real estate developers, insurance companies, brokers and agents, large manufacturing companies, national television networks and emerging technology companies.
Representative work includes:
- Successfully represented national IT staffing company in action against former president who sold his company to the client and then formed and “incubated” directly competitive businesses by stealing key management personnel and utilizing company resources to grow them. The scheme was uncovered through the use of computer forensics which proved alleged e-mails purportedly sanctioning such conduct to be fakes.
- Achieved favorable settlement in defense of a non-compete action between two Fortune 50 competitors in the food industry involving departing high level executive.
- Successfully represented client in major copyright case and secured a settlement that included defendant stipulation in a consent order that client owned and had validly registered its copyright and was the original author of the infringed work.
- Represented maker of automotive parts in a $53 million replevin action to obtain critical tooling necessary to prevent shut down of vehicle manufacturing lines.
- Successfully defeated injunction action to preclude draw down on a letter of credit in favor of commercial landlord issued to secure tenancy.
- Represented financial institution in borrower lawsuit alleging breach of contract and conversion which concluded with the voluntary withdrawal of the complaint against the bank.
- Won a preliminary injunction for a franchisor prohibiting franchisee from opening up competing business in or around surrounding territory.
- Obtained favorable settlement in partnership dispute where limited partners of a bankrupt entity sought redemption of their limited partnership interest.
- Successfully represented major coal client in contract dispute for long-term supply of coal. While client was sued as a defendant, the pursuit of a counterclaim for fraud resulted in a settlement in favor of the client.
- Defeated preliminary injunction brought by creditors of a large property owner who was in the process of selling property to real estate developer client where creditors sought to prevent the sale as an alleged fraudulent transfer.
Additionally, Mary Kay has gained significant experience over the years in the preservation and production of electronic evidence and its use at trial. She is a frequent speaker and author on electronic discovery issues and is often consulted by clients and other lawyers for advice in this emerging area.
Mary Kay received her law degree, with high honors, from the Rutgers University Law School. She obtained a bachelors degree with high honors in 1983 from Douglass College at Rutgers. Following her graduation from law school, Mary Kay served as a law clerk for the Honorable Alan B. Handler, associate justice of the New Jersey Supreme Court. Mary Kay’s peers have selected her as a Pennsylvania Super Lawyer®, an honor conferred upon the top 5% of lawyers in Pennsylvania, for the past three consecutive years.
Mary Kay is licensed to practice in Pennsylvania and New Jersey.
She has been admitted to practice in the United States District Courts for the Eastern District of Pennsylvania and the District of New Jersey, the United States Court of Appeals for the Third Circuit and the United States Supreme Court.
